Engagement terms, written in plain English.

1. Who we are
Avarex Tech Private Limited (“Avarex”, “we”) is an IT consulting and software development firm. We deliver web design, custom software, managed cloud hosting, and payment gateway integrations to enterprise and licensed clients.
2. Engagements
All engagements are governed by a signed Statement of Work (SoW) referencing these terms. SoWs define scope, milestones, acceptance criteria, and payment schedule. Where the SoW conflicts with these terms, the SoW prevails.
3. Payments
Fixed-bid engagements are invoiced 40% on kickoff, 40% on acceptance milestone, 20% on go-live. Retainers are invoiced monthly in advance. Hosting subscriptions are billed monthly via Stripe.
4. IP & confidentiality
On full payment, all engagement-specific code is assigned to you. Avarex retains rights to reusable framework code and published libraries. We treat client codebases, credentials, and customer data as confidential — disclosure only with written consent or as required by law.
5. Service-level commitments
Hosting SLAs (uptime, response time) are defined per plan tier. SLA breaches credit your next invoice automatically. Custom software warranties cover defects in delivered code for 60 days post-acceptance.
6. Termination
Either party may terminate on 30 days written notice. On termination, Avarex hands over source, credentials, and runbooks; you pay for work completed to date.
7. Liability
Aggregate liability for any engagement is capped at the fees paid in the preceding 12 months. We exclude indirect, consequential, or punitive damages. Nothing in these terms limits liability for fraud or wilful misconduct.
